Zicom Electronic Security Systems Limited has informed the Exchange regarding intimation of resignation of Mr. Prabhakar Dalal as an Independent Director of the Company w.e.f. August 31, 2018. Mr. Prabhakar Dalal has resigned due to personal reasons and other professional commitments.

The Exchange has sought clarification from Zicom Electronic Security Systems Limited with respect to recent news item captioned "Zicom in talks with PEs to raise Rs.200cr". The Exchange, in order to verify the accuracy or otherwise of the information reported in the media and to inform the market place so that the interest of the investors is safeguarded, had written to the company. Zicom Electronic Security Systems Limited has submitted their response.

The Exchange has sought clarification from Zicom Electronic Security Systems Limited with respect to recent news item captioned "Zicom in talks with PEs to raise Rs.200cr". In this regard, Exchange have advised the Company to provide clarification/confirmation on the news item in detail including the following: a) Whether such negotiations were taking place and b) Whether you/company are aware of any information that has not been announced to the Exchanges which could explain the aforesaid movement in the trading. Noting and accepting resignation of Mr. V. Raman Kumar, a Non-Independent Director, w.e.f. August 9, 2016.On the basis of above the Company replied that Mr. V. Raman Kumar, due to his pre-occupation, has resigned as a Director of the Company.

ZICOM:The Exchange has sought clarification from Zicom Electronic Security Systems Limited with respect to announcement dated 12-Aug-2016, regarding the Board of Directors of the Company at their meeting held on August 12, 2016 approved:1. Noting and accepting resignation of Mr. V. Raman Kumar, a Non-Independent Director, w.e.f. August 9, 2016.On basis of above the Company is required to clarify following:1. Reason for change viz. appointment, resignation, removal, death or otherwise;The response of the Company is awaited.

Zicom Electronic Security Systems Limited has informed the Exchange that "This has reference to the news item published in the Times of India today i.e. May 2, 2007 under the heading "ZICOM SET TO TEAM UP WITH HFCL", inter alia, stating that "there seems to be an alliance brewing between HFCL and Zicom". In this regard we hereby deny any such development between Zicom and HFCL."
