Alchemist Limited has informed the Exchange that Scheme of Arrangement between Alchemist Limited & Alchemist Foods Limited as approved by Hon'ble High Court(s) of Delhi and Punjab & Haryana High Court has been filed with the office of respective Registrar of Companies at Delhi & Chandigarh respectively and the same has been registered.

Alchemist Limited has informed the Exchange that Hon'ble High Court of Delhi has sanctioned the scheme of arrangement between Alchemist Limited & Alchemist Foods Limited vide its order dated November 01, 2010. The scheme will be effective on filing of copies of order incase of Transferor & Trnasferee Company with the Registrar of Companies.

Alchemist Ltd has informed the Exchange that in the court convened meeting held under the Directions of Hon'ble High Court of Delhi on January 30, 2010, the equity shareholders, preference shareholders, Unsecured creditors secured creditors and fixed Deposit holders have approved the scheme of arrangement for hiving off food division of the Company i.e. Alchemist Limited to its wholly owned subsidiary Company i.e. Alchemist Foods Limited on a going concern basis.

Alchemist Ltd has informed the Exchange that Hon'ble High Court of Delhi has fixed January 30, 2010 as a date for holding separate meeting of Equity shareholders, Preference Shareholders, Secured Creditors, Unsecured Creditors and Fixed Deposit holders for the purpose of considering and if thought fit, for approving with or without modification(s), the scheme of arrangement of Alchemist Limited (Transferor Company/ Applicant Company) with Alchemist Foods Limited (Transferee Company).

Alchemist Ltd had informed the Exchange regarding Meeting of Shareholders and Creditors. The Company has now informed the Exchange that: "Hon'ble High Court of Punjab & Haryana at Chandigarh has modified its earlier order calling meeting of Equity Shareholders, Preference Shareholders, Unsecured Creditors & Secured Creditors. Now, as per modified order, issued by the Hon'ble High Court of Punjab & Haryana at Chandigarh, separate meeting of Equity Shareholders, Preference Shareholders, Secured and Unsecured Creditors of the Company will be held on Friday, the 14th August, 2009, for the purpose
