Zandu Realty Limited has informed the Exchange that the Board of Directors of the Company, at its meeting held today, the 1st of July, 2017, has upon consideration of the recommendations of Audit Committee inter alia approved the Scheme of Amalgamation under Sections 230 to 232 of the Companies Act, 2013 between Emami Infrastructure Limited Company ( EIL or Transferee Company ) and the Company ( ZRL or Transferor Company ) and their respective shareholders and creditors.

Zandu Realty Limited has informed the Exchange that the Board of Directors of the Company at its meeting held on July 08, 2013, has approved the Scheme of Amalgamation of Emami Realty Limited with the Company after considering the Valuation Report submitted by (a) M/S. S. S. Kothari Mehta & Co., Chartered Accountants and (b) Fairness Opinion Report submitted by M/S. VC Corporate Advisors Pvt.
