Srei Infrastructure Finance Limited has informed the Exchange vide its letter dated March 04, 2011 regarding the updates on Scheme of Amalgamation of Quippo Infrastructure Equipment Limited (Quippo) into and with Srei Infrastructure Finance Limited (Srei).

Srei Infrastructure Finance Limited has informed the Exchange that the Scheme of Amalgamation ("the Scheme") of Quippo Infrastructure Equipment Limited ("Transferor Company") into and with Srei Infrastructure Finance Limited ("Transferee Company") has been sanctioned by the Hon'ble High Court at Calcutta on January 18, 2011. The Scheme shall become effective on receipt and filing of the Certified Copies of Order of the Hon'ble High Court at Calcutta with Registrar of Companies, West Bengal, Kolkata.

Srei Infrastructure Finance Limited has informed the Exchange that pursuant to the Order made by the High Court of Judicature at Calcutta, a meeting of equity shareholders of the Company was held on May 31, 2010 for approval of Scheme of Amalgamation of Quippo Infrastructure Equipment Limited ("Transferor Company") into and with Srei Infrastructure Finance Limited ("Transferee Company"). The aforesaid Scheme of Amalgamation of Quippo Infrastructure Equipment Limited ("Transferor Company") into and with Srei Infrastructure Finance Limited ("Transferee Company") has been approved by Equity share

Srei Infrastructure Finance Limited has informed the Exchange that by an Order made on April 29, 2010, and modified Order dt. May 06, 2010, the Hon'ble High Court at Calcutta, has directed that a meeting of the Equity Shareholders of the Applicant Company No. 1 (Quippo Infrastructure Equipment Limited) and Applicant Company No. 2 (Srei Infrastructure Finance Limited), be held on May 31, 2010, for the purpose of considering and, if thought fit, approving with or without modification(s), the proposed Scheme of Amalgamation of Applicant Company No. 1, with Applicant Company No. 2.

Srei Infrastructure Finance Limited has informed the Exchange that: "The Company has received certified copy of the Order from the Hon'ble High Court of Kolkata sanctioning the Scheme of Arrangement between SREI Infrastructure Finance Limited (Transferor Company (SIFL)) and SREI Infrastructure Development Finance Limited (Transferee Company (SIDFL)). The Scheme has become effective from 2nd April, 2008, consequent upon filing of certified copy of the said order with the Registrar of Companies,West Bengal".

Srei Infrastructure Finance Limited has informed the Exchange that pursuant to the Order made by the High Court of Judicature at Calcutta, a meeting of equity shareholders of the Company was held on Monday, the 27th August, 2007, for approval of Scheme of Arrangement between SREI Infrastructure Finance Limited (Transferor Company) and SREI Infrastructure Development Finance Limited (Transferee Company). Srei Infrastructure Finance Limited has informed the Exchange that "Pursuant to the Order made by the High Court of Judicature at Calcutta, a meeting of equity shareholders of the Company will be held on Monday, the 27th August, 2007, for considering and if though fit, approving with or without modification(s), the proposed Scheme of Arrangement between SREI Infrastructure Finance Limited (Transferor Company) and SREI Infrastructure Development Finance Limited (Transferee Company)".

Srei Infrastructure Finance Limited has informed the Exchange that Mr. Salil.K.Gupta, Director & Chief Mentor of the Company has informed the company that out of his holding of 16500 equity shares of the company he has sold 15,000 equity shares and accordingly his total shareholding in the company stands reduced to 1500 Equity Shares.
