Orbit Corporation Limited has informed the Exchange that the Hon'ble High Court of Bombay judicature vide its order passed on June 26, 2009, has approved the Scheme of Amalgamation of Orbit Shelter Pvt. Ltd. (wholly owned subsidiary company of Orbit Corporation Ltd.) with Orbit Corporation Ltd. The Appointed date for the Scheme of Amalgamation is April 01, 2008 from which date the entire business and undertaking as also all the assets and liabilities of the said subsidiary company stands transferred to and vested with Orbit Corporation Ltd.

Orbit Corporation Limited has informed the Exchange that "In terms of the order dated 27th February, 2009 passed by the Hon'ble High Court of Judicature of Bombay, the Equity Shareholders of the Company have in their meeting convened on 6th April, 2009 approved the Scheme of Amalgamation of Orbit Shelter Private Limited with Orbit Corporation Ltd. The Chairman of the meeting, appointed by the Hon'ble High Court of Judicature of Bombay, shall be filing his report directly with the Hon'ble High Court".

Orbit Corporation Limited has informed the Exchange that : "The Company has acquired 100% Equity Shares of Orbit Residency Pvt Ltd consequent to which it has become a wholly owned subsidiary of Orbit Coporation Ltd. The prime objective of Orbit Residency Pvt. Ltd is to acquire small size plots of up to 1000 sq meters or yielding a saleable area of less than 35000 SFT".

Orbit Corporation Limited has informed the Exchange that the Company has acquired 85% Equity stake in Ahinsa Buildtech Pvt. Ltd, consequent to which it has become a subsidiary of Orbit Corporation Ltd, Ahinsa Buildtech Pvt Ltd has entered in to a Deed of Conveyance with the receiver of Debt Recovery Tribunal (DRT) for acquiring the property of Orkay Mills situated at Kurla Andheri Road, Saki Naka, Andheri East.

Orbit Corporation Limited has informed the Exchange that: "The Company has acquired 100% Equity Shares of Orbit Highcity Private Limited, consequent to which it has become a wholly owned subsidiary of Orbit Corporation Ltd".

Orbit Corporation Limited has informed the Exchange that "The Hon�ble High Court of Bombay judicature vide its order passed on December 07, 2007, has approved the Scheme of Amalgamation of Orbit Constructions & Realtors Pvt. Ltd., Orbit Buildcon & Realty Pvt. Ltd. and Orbit Housing Pvt. Ltd. (all 100% subsidiary companies of Orbit Corporation Ltd. ) with Orbit Corporation Ltd. The Appointed date for the Scheme of Amalgamation is 1st April, 2007 from which date the entire business and undertakings as also all the assets and liabilities of the said subsidiary companies stands transferred to and

Orbit Corporation Limited has informed the Exchange that "Pursuant to the directions given by the Hon'ble High Court of Bombay, the equity shareholders of the Company at its meeting held on October 17, 2007, have approved the Scheme of Amalgamation of Orbit Constructions & Realtors Private Limited, Orbit Buildcon & Realty Private Limited and Orbit Housing Private Limited with the Company, with requisite majority".

Orbit Corporation Limited has informed the Exchange that pursuant to order passed by Hon'ble High Court of Mumbai on August 24, 2007, inter alia meeting of the Equity Shareholders of OCL have been directed to be held on October 17, 2007 for considering and approving with or without modifications the Scheme of Amalgamation of Orbit Constructions & Realtors Private Limited (OCRPL), Orbit Buildcon and Realty Private Limited (OBRPL) and Orbit Housing Private Limited (OHPL) with Orbit Corporation Limited (OCL).
