Ocl India Ltd. has informed the Exchange that: "The Hon'ble High Court of Orissa, Cuttack vide its order dated November 27, 2007 has approved the Scheme of Arrangement ("Scheme") comprising: (a) demerger of 'Steel Undertaking' of the Company into OCL Iron and Steel Limited; (b) demerger of 'Real Estate Undertaking' of the Company into Konark Minerals Limited; and (c) merger of Dalmia Cement (Meghalaya) Limited into the Company. Further, the Hon'ble Gauhati High Court vide its order dated October 15, 2007 has already approved the Scheme".

Ocl India Ltd. has informed the Exchange that Hon'ble Gauhati High Court vide its order dated October 15, 2007 has approved the merger of DCML (Dalmia Cement (Meghalaya) Limited) into OCL (OCL India Limited). Further, the date of hearing of the petition of OCL for sanction of the Scheme of Arrangement is fixed on November 02, 2007 by the Hon'ble High Court of Orissa at Cuttack.

Ocl India Ltd. has informed the Exchange that the Scheme of Arrangement has been unanimously approved by the Shareholders and the Secured Creditors at their respective meetings held on September 22, 2007 and by the Unsecured Creditors at their meeting held on September 23, 2007.

Ocl India Ltd. has informed the Exchange that "the Board of Directors in its meeting held today (i.e. May 17, 2007) has approved merger of Dalmia Cement (Meghalaya) Ltd. with the Company within the scheme of reorganization of its business which have already been approved by the Board".
