Nagarjuna Fertiliser & Chemicals Ltd. has informed the Exchange that KRR Holdings Private Limited have acquired 1,50,000 Equity shares of the Company on June 17, 2005.

Nagarjuna Fertiliser & Chemicals Ltd. has informed the Exchange that Industrial Development Bank of India Limited, person holding more than 5% of the shares and voting rights in the Company, had sold 83,59,469 equity shares of the Company amounting to 2% of the paid-up capital of the Company, during the period January 25, 2005 to May 26, 2005.

Nagarjuna Fertiliser & Chemicals Ltd. has informed the Exchange that the BoD's of the company at their meeting held on April 21, 2005, have decided to convene the AGM of the company on September 26, 2005 to consider the Ordinary and Special Business stated in the notice convening the meeting .The BODs decided to close the Register of Members and Share Transfer books from September 01, 2005 to September 26, 2005, both days inclusive for the purpose of AGM.

Nagarjuna Fertiliser & Chemicals Ltd. has informed the Exchange that an EGM of the company was held on December 23, 2004 for the purpose of considering the Amalgamation of Nagarjuna Palma India Limited, an unlisted company and subsidiary of Nagarjuna Fertilizers and Chemicals Limited with Nagarjuna Fertilizers and Chemicals Limited, the holding company. The company has now informed that the members present approved the amalgamation.

Nagarjuna Fertiliser & Chemicals Ltd.(NFCL) has informed the Exchange that at the Board Meeting held on October 09, 2004, 1) The BoD's of NFCL and Nagarjuna Palma India Limited (NPIL) have approved the merger of the two companies; 2) The effective date of the Merger is October 01, 2004; 3) The BoD's of the companies approved the exchange ratio of five equity shares of Rs.10/- each fully paid-up held in NPIL for four equity shares of Rs.10/- each fully paid-up to be issued by NFCL on the Record Date to be fixed by the BoD's of NFCL; 4) The above exchange ratio was based on the valuation jointly
