Munjal Auto Industries Limited has informed the Exchange that the Hon'ble High Court of Gujarat has sanctioned the scheme of demerger of the Company with Shivam Autotech Ltd. vide its Final Order dated March 29, 2006.

Munjal Auto Industries Limited has informed the Exchange that the Company has filed petition sanctioning Scheme of Arrangement before Hon'ble High Court of Gujarat at Ahmedabad, which shall be listed on February 10, 2006. Similarly, Shivam Autotech Limited (Transferee Company) has also filed petition sanctioning Scheme of Arrangement before Hon'ble High Court of Delhi, which shall be heard on March 24, 2006.

Munjal Auto Industries Limited has informed the Exchange that in the Meetings of the Shareholders, Secured and Unsecured Creditors of Munjal Auto Industries Ltd. (MAIL) held on January 30, 2006 to discuss the Scheme of Arrangement, 100 per cent of the Secured and Unsecured Creditors and 100 per cent of the total number of shareholders present in person / proxies voted overwhelming in favour of the scheme.
