Kitply Industries Limited has informed the Exchange vide letter dated March 19, 2013 that Mr. Gaurav Goenka has submitted his resignation from the post of Whole - Time Director and Officiating CFO which has been accepted by the Board of Directors with effect from March 18, 2013. Consequently, he also ceased to be the member of the Committees.

Kitply Industries Limited has informed the Exchange that the Board of Directors of the Company vide circulation resolution took on record the resignation tendered by Mr.Sujit Chakravorti, Non-Executive, Independent director of the Company with effect from September 22, 2012. Consequently, he also ceased to be the member of the Committees. The Board co-opted Mr. Subhas Chandra Agarwala as an Additional Director on the Board of the Company in his place. Mr. Agarwala is joining the Board of the Company as a Non-Executive-Independent Director.

Kitply Industries Limited has informed the Exchange that "the Board of Directors of the Company vide circulation resolution dated 16th May 2012, took on record the resignation tendered by Mr. Mahesh Shah, Non Executive, Independent Director of the Company with effect from 8th May, 2012. Consequently, he also ceased to be the member of the Committees. The Board appointed Mr. Sushil Kumar Sharma as an Additional Director on the Board of the Company with effect from 16th May 2012. Mr. Sharma is joining the Board of the Company as a Non-Executive Independent Director".

Kitply Industries Limited has informed the Exchange that Mr. Rajnikant C Dani, the Non Executive, Independent director of the Company has resigned from the directorship of the Company with effect from April 09, 2011. Consequently, he also ceased to be the member of the Committees. The same has been taken on record by the Board of Directors of the Company vide the resolution passed by circulation.

Kitply Industries Limited has informed the Exchange that Shri Nitin Sahni has resigned from the directorship of the Company with effect from November 24, 2010. The Directors of the Company has taken note of the same vide their resolution passed through circulation.

Kitply Industries Ltd has informed the Exchange that the Board of Directors of the Company at its meeting held on October 30, 2009 has considered and approved, inter alia the following: 1) Appointment of Mr. S.V. Venkatakrishnan (Nominee of Arcil), as an Additional Director, and also as the Member of the Audit Committee of the Board.

Kitply Industries Ltd has informed the Exchange that Mr. Nitin Sahni and Mr. Rajnikant C. Dani has been appointed as an Additional Directors on the Board of the Company effective from September 24, 2008.

Kitply Industries Ltd has informed the Exchange that Indian Debt Management Pvt. Ltd (IDM) has withdrawn their nominee Mr. Navin Sambtani from the Board of Directors of the Company with effect from August 29, 2008. Further Mr. Chetan Jain has resigned as an alternate director to Mr. Denys C Firth and in his place Mr.Navin Sambtani will act as alternate director to Mr. Denys C Firth.

Kitply Industries Ltd has informed the Exchange that: : "The Company have appointed Ms. Shabnum Zaman as our Company Secretary and she will be joining the organization at a date not later than 24-07-2008. Further IDBI Limited has withdrawn their nominee Mr. S. K. Pai from the Board of Directors of the Company."

Kitply Industries Ltd has informed the Exchange that the Board of Directors at their meeting held on July 31, 2007 has appointed Ms. Sangeeta Khakolia as the Company Secretary of the Company and Shri Sujit Chakravorty as a Member of the Shareholders Grievance Committee w.e.f July 31, 2007. Further the Board of Directors discussed the Restructuring / settlement of dues proposal as submitted to the Banks, the same was discussed in the CDR Empowered Group Meeting on July 30, 2007 at IDBI, Mumbai of which the Minutes are awaited.
