Jaiprakash Associates Limited has informed the Exchange that Hon'ble National Company Law Tribunal, Allahabad Bench has sanctioned the Scheme of Arrangement whereby the Company proposes to transfer identified cement plants owned by the Company and its wholly owned subsidiary, M/s Jaypee Cement Corporation Limited, to M/s UltraTech Cement Limited on slump exchange basis.

Jaiprakash Associates Limited has informed the Exchange that the Order and the Scheme of Amalgamation has been filed with the Registrar of Companies, Uttar Pradesh & Uttarakhand on October 16, 2015 and consequent thereto, the Scheme of Amalgamation has become effective. Jaiprakash Associates Limited has informed the Exchange that in continuation to earlier letter dated December 7, 2013 (copy enclosed), informing about the approval of the captioned Scheme of Arrangement, by the Secured & Un-secured Creditors of the JCCL, the Company is pleased to inform that Hon ble High Court of Judicature at Allahabad has sanctioned the Scheme filed by JCCL on April 17, 2014, which was uploaded on the site on April 28, 2014. The Scheme filed by the Transferee Company, namely UCL, before Hon ble High Court of Judicature at Bombay had already been sanctioned on April 4, 2014.
