Hindustan Motors Ltd. had informed the Exchange that the Company has come across a news flashed by PTI, Reuter suggesting that the West Bengal Cabinet has on August 24, 2006 approved the proposal of the Company to put to alternate use the surplus land (i.e. 314 acres of land from out of 709 acres of land) at its factory at Uttarpara, in District Hooghly, West Bengal. Hindustan Motors Ltd. has informed the Exchange that pursuant to the business transfer agreement signed between the Company and AVTEC Ltd ("AVTEC"), the Company has transferred the Power Unit Plant at Pithampur, Indore and the Power Product Division at Hosur, Tamil Nadu to AVTEC. In accordance with the Board Resolution dated February 19, 2005, the Company has on June 28, 2005 sold a part of its stake in AVTEC to Actis Powertrain Investments Limited ("Actis") and to the promoter group of Hindustan Motors Limited through a secondary purchase of shares of AVTEC from Hindustan Motors Limited.
