Gujarat NRE Coke Limited has informed the Exchange regarding updates on Scheme of Amalgamation.

Gujarat NRE Coke Limited has informed the Exchange that the Board of Directors at its meeting held on March 30, 2015 has considered and approved the Scheme of Amalgamation (Scheme) of NRE Metcoke Limited (NREMC) and Bajrang Bali Coke Industries Limited (BBCIL) with the Company i.e Gujarat NRE Coke Limited (GNCL).

Gujarat Nre Coke Limited has informed the Exchange that court convened meeting of the shareholders to be held on January 28, 2013 to consider and approved Scheme of Amalgamation of Bharat NRE Coke Limited (Transferor Company) with Gujarat NRE Coke Limited (Transferee Company) are being sent to the shareholders of the Company.

Gujarat Nre Coke Ltd. has informed the Exchange that the BODs in their meeting held on December 29, 2005 had approved : (1) The appointment of Mr. S. Murari as an Additional Director in the Company; (2) To alter the main object of the Memorandum of Association; (3) Raising of further capital by issue of FCCB/GDR/ADR or any other instruments not exceeding Rs.500 Crore; (4) The merger of FCGL Industries Ltd with the Company. The Exchange ratio will be one Equity Share of Gujarat NRE Coke Ltd. for one Equity share of FCGL Industries Ltd.
