Gitanjali Gems Limited has informed the Exchange that Mr. Nehal Modi has resigned from the Board of the Company, due to his pre-occupations. The Board at its meeting held on November 7, 2015, has taken on record his resignation from the Board of Directors. It is hereby further informed that Mr. Vinod Juneja, who was an alternate to Mr. Nehal Modi on the Board of the Company, has consequently ceased to be Alternate Director.

Gitanjali Gems Limited has informed the Exchange that the Board of Directors has appointed Mr. Vinod Juneja as an Alternate Director to act for Mr. Nehal Modi during his absence with effect from August 14, 2015. Further it is also informed that the Board at its meeting held on August 14, 2015 has taken on record the resignation of Mr. Swaminathan Sundararajan Mittur, Independent Director from the Board of Directors.

Gitanjali Gems Limited has informed the Exchange that the Board of Directors vide circular resolution dated August 13, 2014, have approved the appointment of Mrs. Nazura Ajaney as an Additional Director of the Company. Mrs. Nazura Ajaney shall hold office as an Additional Director till the ensuing Annual General Meeting of the Company. We further wish to inform you that she has been inducted in the category of woman independent director of the Company.

Gitanjali Gems Limited has informed the Exchange that Audit Committee of the company in its meeting held on May 30, 2014 has approved the appointment of Mr. Chandrakant Karkare as Chief Financial Officer (CFO) of the Company in the place of Mr. Kapil Khandelwal with immediate effect. Mr. Kapil Khandelwal will now look after the International finance at group level.

Gitanjali Gems Limited has informed the Exchange that the shareholders of the Company have approved the resolution related to not re-appointing Mr. Sujal Shah, Independent Director of the Company, who was liable to retire by rotation and has not opted for re-appointment at the Annual General Meeting of the Company held on September 30, 2013.The Company has decided not to fill up the vacancy so caused, due to the retirement of Mr. Sujal Shah.

Gitanjali Gems Limited has informed the Exchange, vide letter dated May 21, 2012 that Mr. Sunil Varma who was Chief Financial Officer of the Company has been appointed as Whole Time Director of the Company with immediate effect. Further, the Company has informed that Mr. Kapil Khandelwal has been appointed as Chief Financial Officer of the Company in place of Mr. Sunil Varma with immediate effect. Consequently, Mr. Sunil Varma has relinquished the Charge as Chief Financial Officer of the Company.

Gitanjali Gems Limited has informed the Exchange that the Board of Directors of the Company at its meeting held on May 21, 2012 re-appointed Mr. Mehul C. Choksi as Managing Director of the Company for a fresh period of five years with effect from August 01, 2012 to July 31, 2017 subject to approval of shareholders of the Company.

Gitanjali Gems Limited has informed the Exchange that Mr. M. S. Sundara Rajan is appointed as an independent director on the Board of the Company with effect from March 21, 2012.

Gitanjali Gems Limited has informed the Exchange that the Board of Directors of the Company at its meeting held on January 30, 2010, inter alia, has approved the following changes in the composition of the Board: (1) Mr.Nitin Potdar has been appointed as an additional director on the Board of the Company with effect from January 30, 2010; (2) Mr.Prakash Shah ceased to a Director of the Company with effect from January 30, 2010.

Gitanjali Gems Limited has informed the Exchange that the Board of Directors of the Company at its meeting held on January 30, 2010, has appointed Mr.Sunil Varma as Chief Financial Officer of the Company with effect from December 01, 2009.

Gitanjali Gems Limited has informed the Exchange that "Mr. G. K. Nair- Executive Director has resigned from the Board of the Company due to personal reasons. The Board of Directors accepted his resignation with immediate effect."

Gitanjali Gems Limited has informed the Exchange that the Board of Directors of the Company at its meeting held on October 29, 2009, inter alia, has approved the following changes in the composition of the Board : 1) Mr. Nehal Modi has been appointed as an additional director on the Board of the Company with effect from October 29, 2009. 2) Mr. Suresh Chukkapalli ceased to be a Director of the Company with effect from October 29, 2009.

Gitanjali Gems Limited has informed the Exchange that Mr. Adrianus Voorn has resigned from the position of Executive Director as well as Director of the Company due to personal reasons. The Board of Directors accepted his resignation by means of Circular Resolution dated March 18, 2009.

Gitanjali Gems Limited has informed the Exchange that: "Mr. Vijay Kumar Jatia has resigned as Independent Director from the Board and Member of the Audit Committee w.e.f. May 14, 2007".

Gitanjali Gems Limited has informed the Exchange that the Company has appointed Mr. Suresh Chukkapalli as an Additional Director on the Board of the Company.

Gitanjali Gems Limited has informed the Exchange that the Mr. Kishor. B. Baxi, Company Secretary & Compliance Officer has resigned from the Company. The Company has further informed the Exchange that Mrs. Pankhuri Warange has been appointed as Company Secretary & Compliance Officer of the Company to meet the various requirements in accordance with Section 383 A of the Companies Act, 1956 and clause 49 of Listing Agreement, who is a qualified member of the Institute of Company Secretaries of India.
