Entegra Limited has informed the Exchange that "The Scheme of Merger of SKG Power Ventures Private Limited with Entegra Limited was approved by the Hon'ble High Court of Bombay on the 25th September, 2009. The Certified copy of the scheme is already submitted to the exchange. According to the Scheme, the appointed date of the Merger is 01st April, 2008. Entegra Limited has informed the Exchange that the Board of Directors of the Company in its meeting on December 22, 2008 had approved a proposal of merger of SKG Power Ventures Private Limited with the Company. The board has approved a swap ratio of 500 equity shares of Rs. 10/- each along with 13567 Compulsorily convertible Cumulative Preference Shares of the Face value of Rs. 10/- each of Entegra Limited for every one share of ( of the face value of Rs.10/- each) SKG Power Ventures Private Limited.
