Digjam Limited has informed the Exchange that the Hon'ble High Court of Gujarat vide its Oral Judgement on February 17, 2016 sanctioned the Scheme of Amalgamation between Digjam Limited and Digjam Textiles Limited (the wholly owned subsidiary) and their respective Creditors and Shareholders u/s 391 to 394 of the Companies Act, 1956 and applicable provisions of the Companies Act, 2013, if any, and necessary application is being made to the Hon'ble High Court of Gujarat for the certified copy of the said Order.

Digjam Limited has informed the Exchange that at the Board Meeting held on May 30, 2015, it was decided to incorporate a subsidiary company and invest upto Rs. 5 lacs in the Equity shares thereof. The said company would initially be engaged in trading in all kinds of textiles including yarn and fabrics and may also take up manufacturing in due course. A Committee of the Board of Directors has been constituted to finalise the details and guide the implementation.

Digjam Limited has informed the Exchange that the Company has formulated the Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information (UPSI) and a copy of the same was also forwarded to the Exchange vide letter dated May 7, 2015. Digjam Limited has informed the Exchange that pursuant to the unanimous approval of the Shareholders to the Scheme of Arrangement at the Court Convened Meeting held on April 11, 2012, the Company has filed before the Hon'ble High Court of Gujarat the Petition no. 62 of 2012 to obtain the sanction of the Hon'ble Court to the arrangement embodied in the aforesaid Scheme.
