Digjam Limited has informed the Exchange regarding the Oral Order of the Hon'ble High Court of Gujarat approving the Scheme of Amalgamation between Digjam Limited ( the Amalgamating Company ) and Digjam Textiles Limited ( the Amalgamated Company ) and their respective creditors and shareholders and for holding the Board Meeting.

Digjam Limited has informed the Exchange that in continuation to letter dated December 18, 2015 in connection with the Scheme of Amalgamation between Digjam Limited and Digjam Textiles Limited ( the companies ) and their respective creditors and shareholders, final hearing which was scheduled on February 09, 2016 before the Hon'ble High Court of Gujarat has been adjourned to February 17, 2016.

Digjam Limited has informed the Exchange that pursuant to the unanimous approval of the Shareholders to the Scheme of Amalgamation between Digjam Limited and Digjam Textiles Limited ('the companies') and their respective creditors and shareholders at the Court Convened Meeting held on December 12, 2015, the Company as well as Digjam Textiles Limited (its wholly owned subsidiary) have filed before the Hon'ble High Court of Gujarat their respective Petitions to obtain sanction of the Hon'ble High Court to the aforesaid Scheme of Amalgamation.

Digjam Limited has informed the Exchange that upon receipt of the Observation Letters of BSE Limited and National Stock Exchange of India Limited, the companies have filed the necessary applications before the Hon ble High Court of Gujarat, Ahmedabad seeking directions for convening the respective meetings of the members and creditors or dispensation thereof as may be permitted by the Hon ble High Court. The Company will update the Exchange upon receipt of the Orders of the Hon ble High Court.

Digjam Limited has informed the Exchange that the Board of Directors of the Company at their meeting held on July 31, 2015 have, as recommended by the Audit Committee, approved the proposed Scheme of Amalgamation between DIGJAM Limited with DIGJAM Textiles Limited, and their respective Creditors and Shareholder ( Scheme of Amalgamation or Scheme ) for amalgamation of DIGJAM Limited with DIGJAM Textiles Limited subject to all relevant approvals.

Digjam Limited has informed the Exchange that the certified copy of the Orders of the Hon�ble High Court of Gujarat sanctioning the Scheme of Arrangement under Sections 391 to 393 of the Companies Act, 1956 between the Company and its Shareholders, has been obtained and filed by the Company with the Registrar of Companies, Gujarat on May 15, 2012. Thus, the Scheme has come into effect on May 15, 2012.

Digjam Limited has informed the Exchange that the Hon'ble High Court of Gujarat vide its Oral Judgement dated May 04, 2012 has sanctioned the Scheme of Arrangement under Sections 391 to 393 of the Companies Act, 1956 between the Company and its Shareholders and necessary application is being made to the Hon'ble High Court of Gujarat for the certified copy of the said Order.

Digjam Limited had informed the Exchange that with a view to conserve the resources of the Company, the Board of Directors had considered the proposal for conversion of the outstanding Preference Share Capital aggregating to Rs. 21.62 Crs into Equity Shares to be issued at a price determined by the independent valuer and approved in principle the draft Scheme of Arrangement u/s 391 and other applicable provisions of the Companies Act, 1956 subject to such approvals as may be necessary and authorised the Committee of Directors constituted for this purpose to finalize and approve the Scheme and

Birla Vxl Limited has informed the Exchange that :- (a) Pursuant to Clause C(1)(i) and (ii) of Part III of the Scheme of Arrangement, which has become effective from March 30, 2006:- (i) The Company has divested its entire shareholding of 2,00,00,000 Equity Shares of Rs. 10/- each fully paid up and 10,00,000 - 13.5% Cumulative Redeemable Non-Convertible Preference Shares of Rs. 100/- each fully paid up in VXL Technologies Ltd. (VTL), a wholly owned Subsidiary of the Company on September 29, 2006. As a consequence, VTL has ceased to be a Subsidiary of the Company from September 29, 2006. (ii)
