Brandhouse Retails Limited has informed the Exchange that the Board of Directors of the Company has, at its meeting held on January 27, 2011, approved inter alia the notice sent to the shareholders of the Company through Postal Ballot in accordance with the Companies (Passing of the Resolution by Postal Ballot) Rules, 2001, for passing a Special Resolution pursuant to section 372A of the Companies Act, 1956 for making investment(s) in securities of, making loan(s) and/or giving guarantee(s)/providing security for the loans made to Brandhouse Oviesse Limited, a subsidiary of the Company.

Brandhouse Retails Limited has informed the Exchange that the Board of Directors of the Company at its meeting held on July 25, 2009 have decided for passing of Special Resolution by the shareholders for Alteration of main objects of the Memorandum of Association of the Company through postal ballot pursuant to the Companies (Passing of the Resolution by Postal Ballot) Rules, 2001.
