The shareholding of Robert Bosch Investment Nederland B.V. after the said acquisition is 3,118,950 shares aggregating to 30.00% of the total paid up captial of Kalyani Brakes Limited and the shareholding of Robert Bosch Corporation, USA after the said acquisition is 5,198,097 shares aggregating to 49.99% of the total paid up capital of Kalyani Brakes Limited.

Robert Bosch Investment Nederland B.V. (RBNI) and Robert Bosch Corporation (RBUS) (Acquirers) have informed the Exchange that they have entered into a Share Purchase Agreement dated July 16, 2005 for the acquisition of shares of Kalyani Brakes Ltd. (the "Target Company") from the Indian Promoter Group as and by way of transfer of shares amongst promoters inter-se, as per details given below: a)RBNI has acquired 3,118,950 shares as follows: (i) 1,527,150 shares from Kalyani Utilities Development Ltd.; (ii) 172,603 shares from Forge Investment Ltd.; (iii) 509,997 shares from Kalyani Steels Ltd.

Kalyani Steels Ltd has informed the Exchange that they and their following associates have sold 4,158,447 shares aggregating to 40.00% of the total paid up capital of Kalyani Brakes Ltd. as follows: 1)Kalyani Steels Limited has sold 509,997 shares aggregating to 4.91% of the total paid up capital of the Company. 2) Kalyani Utilities Development Limited has sold 1,527,150 shares aggregating to 14.69% of the total paid up capital of the Company. 3) Forge Investment Limited has sold 1,212,100 shares aggregating to 11.66% of the total paid up capital of the Company. and 4) Mundhwa Investment Limit

Robert Bosch Investment Nederland B.V. (RBNI) and Robert Bosch Corporation (RBUS) have informed the Exchange that they propose to acquire 41,58,447 equity shares aggregating to 39.998% of the share capital of Kalyani Brakes Ltd. as follows: 1)RBNI to acquire 3,118,950 equity shares (30.00%) and 2)RBUS to acquire 1,039,497 equity shares (9.998%) from the following transferors: (i) 15,27,150 equity shares (14.689%) from Kalyani Utilities Development Limited; (ii) 1,212,100 equity shares (11.659%) from Forge Investment Limited; 3) 509,997 equity shares (4.905%) from Kalyani Steels Ltd. and 4) 90

Kalyani Brakes Ltd has submitted to the Exchange a copy of the Notice of the AGM of the Company to be held on July 25, 2005. Kalyani Brakes Ltd has informed the Exchange that the Company has announced the dates of closure of Register of Members from July 19, 2005 to July 25, 2005 for the purpose of AGM. The Company has further informed that the date from which the dividend is payable is on or before August 24, 2005.

Kalyani Brakes Ltd has informed the Exchange that the BODs at its meeting held on May 17,2005 has recommended the dividend at the rate of Rs.12/- per share (120%).
