Bilpower Limited has informed the Exchange that the Company had sold 40,81,633 Equity Shares of Rs.10/- each (face value) of Destimoney Securities Private Limited.

Bilpower Limited has informed the Exchange that Scheme of Arrangement for demerger of manufacturing unit at Wada of Bilpower Ltd ("Demerged Company") into Bill Energy Systems Ltd. ("Resulting Company"), a wholly owned subsidiary Company of Bilpower Ltd under Section 391-394 of the Companies Act, 1956 have been sanctioned by the Hon'ble High Court of Mumbai for both Demerged Company and Resulting Company on September 24, 2010. The Copy of the order have been received from the Hon'ble High Court Bombay by the Company on October 12, 2010.

Bilpower Limited has informed the Exchange that Equity Shareholders of the Company at Court Convened Meeting held on May 18, 2010, as directed by the Hon'ble Bombay High Court pursuant to order made on April 16, 2010 have considered and approved with overwhelming majority, the Scheme of Arrangement for demerger of manufacturing unit at Wada of Bilpower Ltd. into Bil Energy Systems Ltd., a wholly owned subsidiary Company of Bilpower Ltd under Section 391-394 of the Companies Act, 1956.

Bilpower Limited has informed the Exchange that a meeting of the Board of Directors ("Board") of the Company was held on March 09, 2010 wherein the Board considered and approved the Scheme of Arrangement under Section 391-394 of the Companies Act,1956 for demerger of manufacturing unit at Wada of Bilpower Limited into Bil Energy Systems Limited, a wholly owned subsidiary Company of Bilpower Limited, subject to necessary approval(s) / sanction of the concerned authorities, Stock Exchange(s) and Hon'ble High Court, if any.
