Bell Ceramics Limited has informed the Exchange vide its letter dated February 25, 2012 that the Scheme of Amalgamtion / Merger of the company with Orient Ceramic and Industries Limited (OCIL) has now been approved by the Hon'ble High Court of Gujarat vide its oral order dated February 07, 2012. Further, in the similar matter of the company petition filed by OCIL, the Transferee company with the Hon'ble High Court of Uttar Pradesh at Allahabad, that court has also approved the scheme of Amalgamtion / Merger vide its order dated December 19, 2011.

Bell Ceramics Limited has informed the Exchange that the Board of Directors of the Company in its meeting held on May 13, 2011 have, inter-alia, subject to the requisite approvals and sanctions, approved the scheme of arrangement of amalgamation of Bell Ceramics Ltd. (the "Transferor Company") with Orient Ceramics And Industries Ltd. (the "Transferee Company"), with effect from January 01, 2011; being the Appointed Date.
