Aztecsoft Limited has informed the Exchange that: (1) The Company has accepted the resignation of Mr. Samir Bodas, who shall be relieved from his official duties as Director from the closing hours of March 31, 2009. (2) Mr. Samir Bodas has resigned from the position of Chief Executive Officer of Aztecsoft�s global operations with effect from the closing hours of March 31, 2009. (3) Mr. Srinivasan Chandrasekar has resigned from the position of Chief Operating Officer of the Company with effect from the closing hours of March 31, 2009.

Aztecsoft Limited has informed the Exchange that "The change of Directors on the Board of the Company in compliance with Clause 30 of Listing Agreement: 1) The Company has accepted the resignation of Mr. V. R. Govindrajan, who shall be relieved from his official duties as Director from the closing hours of May 29, 2008; 2) Mr. Satish Menon and Mr. S. R. Gopalan have been appointed as Additional Independent Directors on the Board of the Company w.e.f. May 29, 2008 to comply with the norms of revised Clause 49 of the Listing Agreement. 3) Mr. N. Aztecsoft Limited has informed the Exchange that "Mr.V R Govindarajan, Whole Time Director of the Company has submitted his resignation for the position of Whole Time Director which has been accepted by the Board of Directors and Mr. V R Govindarajan will be relieved from his official duties from the closing hours of March 31, 2007. Kindly also note that Mr. V R Govindarajan shall continue to be on the Board of Directors of the Company as a Non Executive Director liable to retire by rotation with effect from April 01, 2007".

Aztec Software And Technology Services Ltd. has informed the Exchange that Mr. V R Govindarajan had been inducted a Director and then Whole Time Director designated as Director & Chief Technology Officer on April 10, 2003. His appointment was for a tenure of three years. The company has now informed that Mr. V. R. Govindarajan had been re-appointed as Whole Time Director designated as Director & Chief Technology Officer on April 10, 2006. Mr. Govindarajan's appointment and remuneration is subject to shareholders approval in the next general meeting.
