Arss Infrastructure Projects Limited has informed the Exchange that Mr. B.Ramesh Babu, Regional Head, EXIM Bank, Kolkata and Mr. Parmod Kumar Sharma, Field General Manager, Punjab National Bank, Kolkata have been appointed as Nominee Directors in the Board of the Company with effect from November 10, 2012 and all the formalities in this regard have been completed.

Arss Infrastructure Projects Limited has informed the Exchange that the Company has entered in to agreements, i.e. Master Restructuring Agreement (MRA) and Trust Retention Agreement (TRA) on September 06, 2012 pursuant to the CDR Mechanism for implementation of terms and conditions stipulated in the Letter of Approval received from CDR EG (Corporate Debt Restructuring Empowered Group) on dated.19.06.2012 with the CDR Lenders led by State Bank of India.

ARSS Infrastructure Projects Limited has informed the Exchange that the Board of Directors of the Company at its meeting held on September 01, 2012, the Board of Directors has approved the terms and conditions stipulated by the CDR EG in their Letter of Approval (LOA) for restructuring of the existing debt.

Arss Infrastructure Projects Limited has informed the Exchange that in the Annual General Meeting of the Shareholders of the Company held on August 11, 2012, all the resolutions including the special resolutions have been approved by the shareholders in terms of the Company's notice dated August 01, 2012.

Arss Infrastructure Projects Limited has informed the Exchange that the Company has been awarded with a work order from the Rail Vikash Nigam Limited (RVNL) vide letter dated August 11, 2012 for "Execution of Balance Work of Construction of Roadbed including minor bridges and major bridges, facilities and general electrification for doubling of Railway line between Barang-Rajathgarh (excluding Ghantikhal-Naraj Section), Cuttack-Barang and 3rd line between Barang-Bhubaneswar in the state of Odisha, India" and the Cost of the Contract is Rs.105.17 Crores.

Total Cost of the Project is Rs. 100 Crores. (
