3i Infotech Limited has informed the Exchange with regard to the Amalgamation of J&B Software India Private Limited, the Company's wholly owned subsidiary with the Company. The Company has filed the Court Order passed by the High Court of Judicature at Bombay with the Registrar of Companies, Mumbai on March 19, 2012. Hence, J&B Software India Private Limited stands merged with the Company effective March 19, 2012.

3i Infotech Limited has informed the Exchange that the High Court of Judicature at Bombay has approved the merger of KNM Services Private Limited, Stex Software Private Limited and E-Enable Technologies Private Limited, three wholly owned subsidiaries of the Company with the Company. Futher, the High Court of the Judicature at Bombay has also approved the merger of Manipal Informatics Private Limited and Delta Services (India) Private Limited, step down subsidiaries of the Company with 3i Infotech Consultancy Services Limited, a wholly owned subsidiary of the Company. 3i Infotech Limited has informed the Exchange that the Company has acquired remaining 49% stake of its subsidiary, Delta Services (India) Private Limited, thereby making it a wholly owned subsidiary of the Company.

3i Infotech Limited has informed the Exchange that the Board, at its meeting held on April 24, 2009 has approved the proposal for merger of 4 wholly owned subsidiaries of the Company viz. KNM Services Private Limited, Stex Software Private Limited, E-Enable Technologies Private Limited and J & B Software India Private Limited with the Company.

3i Infotech Limited had informed the Exchange that the Company had signed an agreement to acquire 100% shares of Regulus Group LLC (Regulus). The Company has now informed the Exchange that "The Company has now completed the acquisition".

3i Infotech Limited has informed the Exchange that:- "We have acquired a majority stake of 51% in M/S Fineng Solutions Private Limited (FinEng) with a commitment to acquire remaining stake in two tranches over a period. FinEng is a Mumbai based Company engaged in the business of creating and selling software products and developing software solutions. It owns certain proprietary software providing various business solutions in the financial sector, namely in the Mutual Fund segment, Wealth Management and credit risk space".

3i Infotech Limited has informed the Exchange that "The High Court of Judicature at Karnataka has sanctioned the scheme of amalgamation of the Company and its wholly owned subsidiary, Datacons Private Limited on January 31, 2008. The Company has filed the Court Order with the Registrar of Companies at Karnataka on February 28, 2008 .Therefore the effective date of the merger will be February 28, 2008".

3i Infotech Limited has informed the Exchange that "Consequent to the approval of the High Court of Judicature at Andhra Pradesh, and the filing of the Court Order with the registrar of Companies at Hyderabad, we have now completed all the formalities for the amalgamation of the Company's wholly owned subsidiary, SDG Software Technologies Limited (SDG), Hyderabad with the Company."
